These terms govern your use of the Latch software and this website, both provided by Captivated Ltd (company number 15936109, registered at Electric Works, 3 Concourse Way, Sheffield, S1 2BJ, United Kingdom). By installing or using Latch you agree to them.

1. What Latch is

Latch is a Windows application that automatically checks files out and back in on Microsoft SharePoint Online while you edit them locally. It works alongside Microsoft's own sync client. It is not affiliated with, endorsed by, or supported by Microsoft.

2. Status of the product

Latch is currently in development and is not generally available. Any pre-release version is supplied for evaluation, may change without notice, and should not be relied upon as the sole protection for work you cannot afford to lose.

3. Your Microsoft environment

Latch acts on your Microsoft 365 tenant using credentials you supply, with permissions your organisation grants. You are responsible for holding the rights to use it in your tenant, for obtaining any administrator consent required, and for the consequences of the permissions you grant. Latch can only do what the signed-in user could already do.

4. Licence

Subject to these terms we grant you a non-exclusive, non-transferable, revocable licence to install and use Latch for your internal business purposes. You may not reverse engineer, decompile, redistribute, sublicense or resell it, except where that restriction is prohibited by law. We retain all intellectual property rights in the software.

5. What we do not promise

Latch is provided "as is". To the fullest extent permitted by law we exclude all implied warranties, including of merchantability, fitness for a particular purpose and non-infringement.

In particular, and stated plainly because it matters: Latch depends on Microsoft's services and sync client behaving as documented, and on the behaviour of the applications you edit files with. We do not warrant that every edit will be protected by a lock, that no conflict will ever occur, or that no data will be lost. Latch is designed so that its own failures result in no locking rather than in blocked work, but it is a safeguard and not a substitute for backups and version history.

6. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.

Subject to that, we are not liable for loss of profit, loss of business, loss of data, business interruption, or any indirect or consequential loss. Our total liability arising from these terms is limited to the greater of the fees you paid us for Latch in the twelve months before the claim, or £100.

These terms are offered to businesses. If you are a consumer, your statutory rights are unaffected.

7. Fees

Latch is not currently sold. If and when it is, pricing and payment terms will be agreed separately and will take precedence over this section for the parts they cover.

8. Suspension and termination

You may stop using Latch and uninstall it at any time. We may suspend or terminate your licence if you materially breach these terms and do not remedy the breach within 14 days of being asked. On termination you must stop using Latch and remove it from your systems.

9. Changes

We may update these terms. The date above will change, and continued use after an update means you accept the revised terms. Where a change materially reduces your rights we will make that clear rather than relying on the date alone.

10. Governing law

These terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
